In order to refinance existing financial liabilities, including the outstanding notes (ISIN LV0000860146), and to finance further growth of its lending portfolio, on 6 May 2026, AS DelfinGroup submitted documents to Nasdaq CSD to register new unsecured notes issue with the following characteristics:

Offer to existing investors
From 7 May to 20 May 2026, holders of the existing notes (ISIN LV0000860146, maturity date 25 November 2026) will have the opportunity to exchange their holdings for the new notes of AS DelfinGroup. Participants in the exchange offer will be entitled to receive a fee of 1% of the nominal value of the exchanged notes, payable within ten business days following the conclusion of the exchange period. Noteholders will receive detailed information and instructions regarding the exchange procedure from their respective custodians.
Noteholders holding LV0000860146 notes for at least EUR 100,000 are eligible for exchange offer.
