Amber Beverage Group Holding S.à r.l. as the Issuer informs the Noteholders that CSC (Sweden) AB (formerly – Intertrust (Sweden) AB), the Trustee of the Noteholders, has issued a notice of the occurrence of an Event of Default.
Trustee refers to the Issuer’s public announcement of 30 January 2026, where AS “Amber Latvijas balzams” (Reg.No.:40003031873) who is a Guarantor under the Notes, declares that on 30 January 2026 it filed with the Riga City Court for legal protection proceedings (TAP), as well as the following announcement about the decision of 5 February 2026, whereby the Riga City Court initiated legal protection proceedings for AS “Amber Latvijas balzams”. Further on 10 February 2026, the Trustee received a notice of an Event of Default from the Noteholders representing at least 10% of the principal amount of the outstanding Notes.
In accordance with Clause 15.2.4 of the Terms and Conditions and based solely on the notice of Event of Default received from the Noteholders, the Trustee notifies of the occurrence of an Event of Default pursuant to Clause 15.1.1 (e) (iii).
The Trustee has initiated discussions with the Issuer and the Noteholders from whom the Event of Default notice was received.
