On October 14, 2026, Eleving Group held an investor call during which the Group’s CEO, Modestas Sudnius, and CFO, Maris Kreics, presented the bond exchange offer, provided insights into Eleving Group’s recent financial performance and future plans, and answered participants’ questions.
The recording of the investor call is available here.
As reported previously, Eleving Group has priced its new EUR 200 million senior secured and guaranteed bonds (ISIN XS3517354141) at a fixed interest rate of 9% per annum, with the issue price set at par. Of this amount, Eleving Group has reserved EUR 25 million for the public exchange offer, giving existing retail investors the opportunity to participate in the new issuance by exchanging their existing bonds (ISIN DE000A3LL7M4) for the new bonds.
From 6 to 20 October 2026, holders of the existing bonds (ISIN DE000A3LL7M4) are invited to exchange their bonds for new senior secured bonds (ISIN XS3517354141) with an annual coupon rate of 9%. Under the exchange offer, each new bond will have a nominal value of EUR 100. The new bonds will have a six-year maturity from the issue date, maturing on 15 October 2032, and will carry a fixed annual coupon rate of 9%, with interest payable quarterly.
At the same time, Eleving Group notes that, given the limited amount available under the exchange offer, the final allocation of the new bonds will be determined after the exchange offer period has ended. Any existing bonds not exchanged under the exchange offer are expected to be redeemed on or around 2 November 2026 at 101% of their nominal value, subject to the conditions set out in the notice of conditional early voluntary redemption.
