Taking into account the decisions adopted at the meeting of the owners of the bond issue with ISIN code LT0000133928 (hereinafter – the Bonds) that took place on June 10, 2026, of UAB Enervia, legal entity code 307134485, registered office address Gedimino pr. 3A-2A, LT-01103 Vilnius, Republic of Lithuania (hereinafter – the Company), which approved the change of the Company's control, a transaction for the sale of all the Company's shares was concluded on August 26, 2026 (hereinafter – the Transaction).
Upon completion of the Transaction, UAB "Proksima eta" became the sole shareholder of the Company.
The shares of the Company will continue to remain pledged in favour of the holders of the Bonds on the same terms as set out in the Pledge Agreement, with the details of the changed pledgor being updated therein.
